Terms of Service

These terms apply to the vintr.co website and the vin/tr service. They are offered by [company name, registration and registered address to be confirmed] (“vin/tr”, “we”, “us”). Contact: hello@vintr.co. Our Privacy Policy explains how we handle personal data, cookies included.

1. The basics

By using the website or the service, you accept these terms. vin/tr works with businesses only: by engaging us, you confirm that you act for a winery or another business, that you have authority to commit it, and that you are at least 18. If you do not agree with these terms, do not use the website or the service.

2. What vin/tr does

vin/tr runs managed email outreach that connects wine producers with importers. For each client, we select importers from our database to match the agreed markets and profile, set up a dedicated sending domain and inboxes, warm them up, write the email sequence with you, send it on your behalf, forward the replies to you and send you a monthly report. You take over the conversation as soon as an importer replies.

We provide a service, not data. We do not sell, rent or license our importer database, to clients or anyone else.

3. How an engagement starts

Calls booked through the website and the onboarding form are free and commit neither you nor us. After you send the form, we email you an outreach plan: the proposed markets, the number of importers targeted, the campaign timeline and the price. Our agreement starts when you accept the plan and pay the setup fee. The plan you accept and these terms together form the agreement between us; where they differ, the plan prevails.

4. Prices, payment and minimum term

  • Setup: month 1 is setup and infrastructure only (the sending domain, inboxes, DNS, authentication, warm-up and campaign configuration). The setup fee is set in your plan and paid when you accept it. Once setup has started, it is not refundable.

  • Subscription: the monthly subscription starts when your first campaign launches, usually in month 2, and is billed monthly in advance.

  • Minimum term: every campaign runs for at least six months from launch; the setup month does not count. If you end it earlier, the subscription for the rest of those six months remains due. After the minimum term, the subscription continues month to month until the outreach in all your markets is complete. Either of us can end it sooner by email with 30 days’ notice; notice can be given during the minimum term, to take effect when it ends.

  • Signing an importer: when you sign with an importer in one of your markets, tell us. We remove that market from the outreach and the next market in your plan takes its place. Your monthly price stays the same; with fewer markets left, your campaign can end sooner. If you sign an exclusivity agreement for a country, we remove the whole country.

  • Payment: prices are in euros or US dollars, as set in your plan, and exclude any taxes that apply. Payments are made through Stripe, our payment provider: the setup fee when you accept your plan, then the monthly subscription, charged automatically to the payment method you register. If a payment fails and is still unpaid 7 days later, we may pause sending until it is paid; the amounts due remain payable.

  • Price changes: we may change our prices with 30 days’ notice by email. A change never applies during your minimum term.

5. Your part

You agree to:

  • give us accurate information, and only ask us to promote wines you have the right to market and sell;

  • review and approve the email sequence before it is sent: you are the advertiser behind your campaign;

  • make sure what we say about your wines is true, including prices, awards, scores and certifications such as organic or biodynamic, and follow the rules on alcohol marketing, labeling and import in your target markets;

  • tell us promptly about importers to leave out, markets where you have signed, and anyone who asks not to be contacted again;

  • follow up on the replies we forward to you; and

  • not send other email from the campaign inboxes while the campaign runs, to protect their sending reputation.

6. Our part

We run your campaign with reasonable care and skill, to a standard designed to respect the rules on commercial email across markets: every message states clearly who it is from and why the contact is approached, includes a working opt-out, and every opt-out is honored. We may slow down, pause or adjust sending, or remove contacts, when we judge it necessary to protect deliverability, to comply with the law or to respect a recipient’s request.

We do not give legal, tax or regulatory advice; any market or regulatory information we share is general.

7. No guaranteed results

We do not guarantee any result: not reply rates, open rates or inbox placement, nor meetings, importer agreements or sales. Deliverability depends on mail providers, domain reputation and how recipients behave, which we do not control. Figures on the website and in our materials, such as indicative reply rates or database counts, are indications, not promises.

8. What you keep at the end

At the end of a campaign, we hand over its results: the replies, the list of importers who replied, and the email sequences. On request, and once every amount due is paid, we transfer the sending domain and inboxes to you, with the list of people who opted out. From the transfer, their costs (domain renewal, email licenses) are yours, and so is the way you use them, including respecting every opt-out under the law that applies.

Our importer database remains ours. You may continue the conversations your campaign started, but you may not extract, sell, share or publish the contact details it contains, or use them for anyone other than your own winery.

9. Our database and intellectual property

The website, its content and design, and our importer database (its contents, structure, enrichment and the methods behind it) belong to vin/tr and are protected by intellectual-property and database rights. Nothing in these terms transfers them to you.

You keep all rights in your name, brand, wines and materials. You allow us to use them to run your campaign, and to name your winery as a vin/tr client unless you ask us not to.

10. Confidentiality

Each of us keeps the other’s non-public information confidential and uses it only to provide or receive the service, unless the law requires its disclosure. This continues after the agreement ends.

11. Liability

The website and the service are provided “as is” and “as available”, as far as the law allows. Contact data changes constantly; we keep it as accurate as we reasonably can, but cannot guarantee that it is complete or current.

vin/tr is not liable for indirect or consequential losses, such as loss of profit, revenue, business, opportunity or data, nor for the decisions and actions of importers or other third parties. Our total liability for all claims linked to the service is limited to the fees you paid us in the twelve months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot legally be limited.

12. Your responsibility to us

You will cover vin/tr against claims, losses and reasonable costs arising from your wines, from the claims you ask us to make about them, from your breach of these terms, of the law or of someone else’s rights, or from your use of the sending domain and inboxes after they are transferred to you.

13. Suspension and termination

We may suspend or end the service if you do not pay, breach these terms or misuse the service, or if the law requires it. If we end it because of your breach, the amounts due for your minimum term remain payable. Either of us may end the agreement at once if the other becomes insolvent. Sections that by their nature continue after the end, such as those on our database, confidentiality, liability and governing law, continue to apply.

14. Using the website

Use the website lawfully. Do not disrupt it, try to access our systems without permission, send spam or malicious code through it, impersonate anyone, or copy, scrape or extract its content or data without our written consent.

15. General terms

  • Law and courts: these terms are governed by the law of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction, subject to any mandatory rights you have under the law of your own country.

  • Events beyond our control: we are not responsible for delays or failures caused by events we cannot reasonably control, such as outages of internet, hosting or email providers, cyberattacks or government action.

  • Changes: we may update these terms by publishing a new version on this page. For an existing client, changes that affect your plan apply only after we tell you by email, and never change the price or term of a plan you have already accepted.

  • Transfer: we may transfer the agreement to the company that operates vin/tr or to a successor business; you may transfer it only with our written consent.

  • Notices: notices between us are given by email, to hello@vintr.co and to the address you gave us.

  • Whole agreement: these terms, your accepted plan and our Privacy Policy are the whole agreement between us. If a provision is invalid, the rest remains in force. If a version of these terms in another language differs from this English version, the English version prevails.
